Terms of Service

These Terms of Service ("Terms") govern your use of SEOToole (the "Service"), operated by [COMPANY LEGAL NAME], [REGISTERED ADDRESS] ("we", "us"). By creating an account or using the Service you agree to these Terms. If you use the Service for a company, you confirm you may accept these Terms for it.

1. The Service

SEOToole provides SEO research and monitoring tools: keyword research, search results, domain and backlink data, site audits, rank tracking, AI visibility checks, an AI assistant ("SAM") and API/MCP access. Much of the data comes from third-party data providers and from search engines. We do our best to keep it accurate, but we do not guarantee that data is complete, current or error-free, and we do not guarantee any search ranking, traffic or business result.

2. Accounts

• You must be at least 16 years old and give a valid email address.
• Keep your password, two-factor codes, passkeys and API tokens secret. You are responsible for activity on your account and on API tokens you create.
• An account belongs to a team. The team owner controls billing and can manage team members.
• Tell us at info@seotoole.com if you think your account has been accessed without permission.

3. Plans, tokens and payment

• Paid plans are billed monthly in US dollars, in advance, through our payment processor Stripe. Prices are shown before you buy. Taxes may be added where required.
• Each plan includes a number of tokens per billing period. Monthly tokens reset at the start of each billing period and do not roll over.
• You can buy add-on token packs. Add-on tokens do not expire while your account exists and are used after your monthly tokens.
• Each tool run, AI assistant step, API/MCP call and scheduled run uses tokens. The token cost is shown before you run a tool where possible. Results we serve from our cache cost the same as fresh results.
• Scheduled runs are charged after each run and pause automatically when you run out of tokens.
• Your subscription renews automatically until you cancel. You can cancel anytime from the billing page; you keep access until the end of the paid period.
• There is no free trial. Refunds are covered by our Refund Policy.
• We may change prices or token costs. We will tell you before a price change applies to your subscription.

4. Acceptable use

You agree not to:

• break the law, or infringe anyone's rights, while using the Service;
• run audits or crawls against websites you do not own or are not allowed to analyse in a way that harms them;
• resell, redistribute or publish data from the Service in bulk, or build a competing data product from it;
• scrape the Service, get around usage limits, share accounts to avoid paying, or probe or attack our systems;
• use the AI assistant to create unlawful, harmful or misleading content.

We may suspend or limit an account that breaks these rules or puts the Service or other customers at risk.

5. Connected Google accounts

If you connect Google Search Console or Google Analytics, you allow us to read data from those accounts for the projects you choose, so we can show it to you. You can disconnect at any time from the project's integrations page or from your Google account settings. Our use of this data is described in our Privacy Policy.

6. AI assistant

SAM answers using third-party AI models. AI answers can be wrong or incomplete. Check important information before you rely on it. Do not send SAM information you are not allowed to share.

7. Your content

You keep all rights to the projects, keywords, domains and other content you add ("Your Content"). You give us permission to store and process Your Content only to run the Service for you. You are responsible for having the right to use Your Content.

8. Our rights

The Service, its software and its design belong to us and our licensors. These Terms do not give you any rights to them except to use the Service as described here.

9. Availability and changes

We work to keep the Service available but do not promise uninterrupted access. We may change, add or remove features. If we stop offering the Service, we will give reasonable notice and refund any unused prepaid subscription period.

10. Ending your account

You can stop using the Service and ask us to delete your account at any time. We may end or suspend your access if you seriously or repeatedly break these Terms. When an account is deleted, unused tokens are lost unless the Refund Policy says otherwise.

11. Disclaimer

To the extent allowed by law, the Service is provided "as is" and "as available", without warranties of any kind, including fitness for a particular purpose and accuracy of data.

12. Limitation of liability

To the extent allowed by law, we are not liable for indirect or consequential losses, or for lost profits, revenue, data or rankings. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.

13. Changes to these Terms

We may update these Terms. We will post the new version here with a new "last updated" date and, for important changes, tell you by email or in the app before they apply. If you keep using the Service after that, the new Terms apply.

14. Governing law

These Terms are governed by the laws of [GOVERNING LAW COUNTRY / STATE]. Courts in [COURT LOCATION] have jurisdiction, unless consumer law where you live gives you other rights.
